The participants learn what constitutes a valid contract. The session reviews dos and don’ts for proposals, advertising and purchase orders. Specific contract language is reviewed and suggested language proposed. Reviewed clauses include but not limited to Scope of Services, Performance Schedule, Payment, Standard of Care, Ownership of Documents, Indemnification, Termination, Insurance, and Disputes Resolution. We discuss Limitation of Liability and Consequential Damages Waivers as tools to limit project risk. Provisions that expand liability such as broadened indemnification and warranty/guarantee language are also addressed. Further, we will touch on the responsibilities and liabilities of design professionals at the project site.
