Small Practices: Contracts and Risk Allocation with Jared Maxwell

The month we are excited to welcome Jared Maxwell, partner at Ames & Gough, to present on the essentials of contracts and how to utilize them to manage risk to the firm. As small firm practitioners we often put together our own contracts, and Jared will speak to us about key components to include in a contract and why.
Jared will discuss what constitutes a valid contract and the dos and don’ts for proposals, advertising, and purchase orders. We will dive into specific contract language and review specific clauses including Scope of Services, Performance Schedule, Payment, Standard of Care, Ownership of Documents, Indemnification, Termination, Insurance, and Disputes Resolution. We will discuss Limitation of Liability and Consequential Damages Waivers as tools to limit project risk, and touch on the responsibilities and liabilities of design professionals at the project site.
